“THE 66TH ANNUAL GRAMMY AWARDS®” BROADCAST RESTRICTIONS

Live Telecast Excerpt, Livestreams and Pool Feed Content Restrictions

The following provisions are legally binding and apply to domestic, international broadcasts, online news and social media sites:

▪All clips (“excerpts” or “Excerpt”) from the GRAMMY Awards may be used on a non-exclusive basis and limited specifically to news, entertainment information and/or talk show programming, and any websites directly associated with your particular news, entertainment information and/or talk show program. The excerpts may only be used in the segment of the applicable news, entertainment information and/or talk show program broadcast (the “Segment”) covering THE 66TH ANNUAL GRAMMY AWARDS and for no other purpose whatsoever, without the prior written consent of the Recording Academy.

▪You may excerpt up to two (2) minutes of material for your segment in each news, entertainment information and/or talk show program broadcast and/or online news segment, with no individual non-performance excerpt exceeding 30 seconds in length.

▪Artists’ performance Excerpts cannot exceed ten (10) seconds individually, or thirty (30) seconds in the aggregate.

▪Excerpts must be used within two (2) days from the conclusion of the live network broadcast. After this time period, you must get written permission from the Recording Academy for any additional uses. This provision applies to all domestic and international broadcasters as well as internet press.

▪ Footage from the Red Carpet Fashion Wall, Limo Drop and Media Room Interviews Pool Feeds must be used within seven days from the conclusion of the initial live network broadcast of THE 66TH ANNUAL GRAMMY AWARDS. After this time period expires, you must get written permission from the Recording Academy for any additional uses. This provision applies to all domestic and international broadcasters as well as internet press.

▪Online outlets and social media platforms may only publish a maximum of three (3) excerpts, each of which must be less than thirty (30) seconds on your site or platform.

▪The CBS logo EYE as it appears on the CBS broadcast may not be obscured or modified in any way in the excerpts that you air or post online.

▪You may not assign or transfer the Excerpt usage rights hereunder to any other party.

▪Copyright: You acknowledge that the Recording Academy is the sole owner of all copyrights and exclusive rights in and to the Excerpts.

▪The rights and permissions provided by the Recording Academy in this agreement are expressly limited to the rights owned by the Recording Academy. To the extent any rights (including but not limited to copyright, trademark, right of publicity, or other intellectual property rights) owned by any third party may be encompassed within the Excerpts, the Recording Academy makes no representations or warranties as to these rights. By using the Excerpts, you agree to defend, indemnify, and hold harmless the Recording Academy, the CBS Television Network (“CBS”) and their respective affiliates, employees, officers, trustees, directors, members, agents, successors, and assigns (collectively, "Indemnified Parties") against any and all damages, penalties, losses, costs, and expenses (including but not limited to attorneys' fees and court costs), liabilities, claims, and causes of action of any kind suffered or incurred by the Indemnified Parties, or to which the Indemnified Parties become subject, resulting from, arising out of, or relating to any third-party claim, suit, proceeding, or other action based on any use by you of one or more Excerpts.
